Trellistate Poster Agreement

This Poster Agreement (the “Agreement”) is a binding contract between you (the “Poster”) and Trellistate LLC, a [STATE] limited liability company (“Trellistate”, “we”, “us”). By checking “I agree” and posting a listing, you accept this Agreement and our Terms of Service and Privacy Policy, which are incorporated by reference.

1. What Trellistate Is — and Isn't

Trellistate operates a free, public, AI-readable property listing exchange. Trellistate is not a Multiple Listing Service (MLS), a real estate brokerage, a broker, a salesperson, an escrow agent, a title company, a lender, an insurer, or an inspector. Trellistate does not represent any party in any real estate transaction. Trellistate does not solicit, negotiate, or close transactions. You are not paying for, and we are not providing, real estate brokerage, legal, tax, appraisal, lending, or insurance services.

2. Your Authority to Post

You represent and warrant that:
  1. You are at least 18 years old and legally capable of entering into binding contracts.
  2. For each listing you post you (a) are the owner of the property; (b) are a duly authorized officer, member, or agent of the entity that owns the property; (c) hold a valid, current real estate license in the state where the property is located and have written authority from the seller/landlord to advertise the listing; or (d) are otherwise legally authorized to advertise the property for sale, rent, or other disposition.
  3. You will obtain and maintain all licenses, permits, registrations, and consents required by federal, state, and local law to post the listing, including any required broker or salesperson licenses.
  4. You have all rights necessary to grant the licenses in Section 6 below for every photo, floorplan, description, and other content you upload.
If any of the foregoing is or becomes untrue, you must immediately remove the listing.

3. Accuracy and Required Disclosures

You are solely responsible for the truth, completeness, and timeliness of every fact in your listing — price, address, square footage, beds/baths, lot size, taxes, HOA fees, school assignments, photos, availability, and disclosures.

You agree to comply with all advertising and disclosure laws of the jurisdiction where the property is located, including but not limited to:

  • The federal Fair Housing Act, 42 U.S.C. § 3601 et seq., and HUD advertising guidelines (24 C.F.R. § 100 et seq.)
  • The Equal Credit Opportunity Act (15 U.S.C. § 1691)
  • The Americans with Disabilities Act, where applicable
  • State and local fair-housing, anti-discrimination, agency-disclosure, lead-paint, mold, flood, megan’s-law, and rental-licensing statutes
  • For real estate licensees: all rules of your state’s real estate commission, including required licensee identification and supervising-broker disclosures

You will not publish content that expresses a preference, limitation, or discrimination based on race, color, religion, sex (including gender identity and sexual orientation), national origin, familial status, disability, source of income (where protected), age, military status, or any other class protected by law.

4. Prohibited Content and Conduct

You will not post a listing that:
  1. You are not authorized to list, including listings copied from MLS feeds or other platforms;
  2. Misrepresents the property, the price, the terms, or the availability;
  3. Violates Section 3 above or any other applicable law;
  4. Promotes illegal activity (including unlicensed brokerage, unlicensed lending, money laundering, or rental scams);
  5. Contains malware, phishing links, or attempts to harvest personal data;
  6. Solicits transactions to bypass the contractual obligations of an existing listing agreement; or
  7. Targets, harasses, or threatens any person or class.

You will not use Trellistate to scrape, mirror, or republish listings from any third-party portal, MLS, or aggregator. You will not use Trellistate to circumvent rate limits, impersonate another user or AI agent, or interfere with the operation of the service.

5. Public, AI-Readable Distribution

You acknowledge and agree that:
  1. Any listing you mark active is intended for public distribution, including via our website, RSS and JSON feeds, public REST API, JSON-LD structured data, and to AI agents that follow our published /agents.txt and /.well-known/trellistate.json.
  2. Your listing’s content (including the photos and the contact information you choose to display) may be cached, indexed, embedded in AI model outputs, and redistributed by third parties — including search engines and AI agents — and Trellistate cannot recall content that has already been distributed.
  3. AI agents acting on your behalf (whether you registered them or otherwise) act under your authority. You are responsible for their actions.
  4. If you opt to hide your exact address, we will redact the street address from public outputs and coarsen any coordinates you provide, but we retain the full address on file for legal and abuse-prevention purposes and may disclose it where compelled by law.

6. License You Grant to Trellistate

You retain ownership of all content you submit. You grant Trellistate a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to host, store, copy, reproduce, modify (for format/resolution), publicly display, publicly perform, transmit, distribute, and create derivative works of your content for the purpose of operating, promoting, and improving the service — including via APIs, feeds, JSON-LD, OpenGraph previews, search-engine snippets, and third-party AI agent integrations. This license survives termination of your account for content that was lawfully distributed before termination, to the extent necessary for Trellistate to maintain backups and to honor existing third-party access.

7. License You Grant to Other Users and Agents

You grant every visitor, user, and registered AI agent a non-exclusive, worldwide, royalty-free license to view, search, query, link to, and quote your listing through the service, subject to our Acceptable Use terms.

8. Copyright and Photo Ownership

You represent that for every photo, floorplan, video, or other media you upload, you either own the copyright or have a written license from the copyright owner sufficient to grant the rights in Sections 6 and 7. You agree not to upload MLS photos, photos taken by a photographer who has not released them to you, or copyrighted material you do not have rights to.

If you believe content on Trellistate infringes your copyright, send a notice under the Digital Millennium Copyright Act (DMCA) to dmca@trellistate.example with: (a) your contact info; (b) the work claimed to be infringed; (c) the URL of the allegedly infringing material; (d) a good-faith statement that you believe the use is not authorized; (e) a statement made under penalty of perjury that you are the owner or authorized to act; and (f) your physical or electronic signature. We respond to valid notices within a commercially reasonable time.

9. Indemnification

You will defend, indemnify, and hold harmless Trellistate LLC and its officers, directors, members, employees, agents, contractors, and successors (the “Indemnitees”) from and against any and all claims, liabilities, damages, losses, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or related to:

  1. Any listing you post or have posted;
  2. Any breach by you of this Agreement, the Terms of Service, the Privacy Policy, or any applicable law;
  3. Any claim that your listing or content infringes a third party’s intellectual-property, privacy, publicity, or contract rights;
  4. Any claim by a buyer, tenant, neighbor, regulator, or other party arising from the property described in your listing or any transaction you enter into (or fail to enter into) with another user;
  5. Your interactions with any other user, including any disputes about price, condition, availability, or the property itself; and
  6. The acts or omissions of any AI agent acting on your behalf.

Trellistate may, at its sole option and expense, assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate.

10. Disclaimers

The service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. Trellistate expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Trellistate does not warrant that the service will be uninterrupted, error-free, secure, or free of viruses or other harmful code.

Trellistate makes no representation or warranty as to the accuracy, completeness, or legality of any listing. All listing data is supplied by users. Buyers, renters, and AI agents are responsible for independently verifying all information before acting on it, including through inspection, appraisal, title search, and consultation with licensed professionals.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will Trellistate LLC or its Indemnitees be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost data, lost opportunities, or loss of goodwill — arising out of or related to this Agreement or the service, even if Trellistate has been advised of the possibility of such damages.

Trellistate’s aggregate liability under this Agreement will not exceed one hundred U.S. dollars ($100.00). You agree this amount is a fair allocation of risk because the service is free.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the smallest amount permitted by law.

12. Removal, Suspension, and Termination

Trellistate may remove any listing or suspend or terminate any account, with or without notice, at our sole discretion — including for suspected violations of this Agreement, applicable law, or our Acceptable Use rules; for abuse reports; in response to a DMCA notice; or for any other reason. You may delete your listings or your account at any time.

13. Governing Law and Venue

This Agreement is governed by the laws of the State of [STATE], without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in [COUNTY], [STATE] for any matter not subject to arbitration under Section 14.

14. Mandatory Arbitration and Class Action Waiver

PLEASE READ — THIS AFFECTS YOUR RIGHTS. Except for (i) suits to enjoin infringement of our intellectual property and (ii) small-claims actions, any dispute arising out of or related to this Agreement or the service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single arbitrator, in [COUNTY], [STATE] (or by videoconference at your option). Judgment on the award may be entered in any court of competent jurisdiction.

You and Trellistate each waive any right to a jury trial.

You and Trellistate each waive any right to bring or participate in a class action, collective action, or representative action. If this class-action waiver is found unenforceable, then the entire Section 14 is null and void, but the rest of the Agreement remains in effect.

You may opt out of this Section 14 by emailing arbitration-opt-out@trellistate.example within 30 days of first accepting this Agreement, stating your name, email, and intent to opt out.

15. Changes

We may update this Agreement. Material changes will be posted with a new “last updated” date. Continued use of the service after the change constitutes acceptance. If you do not accept the changes, you must stop posting and delete your active listings.

16. Miscellaneous

  • Severability. If any provision is held unenforceable, the rest stays in effect.
  • No waiver. Our failure to enforce a provision is not a waiver.
  • Assignment. You may not assign this Agreement. Trellistate may assign to a successor in a merger, acquisition, or sale of assets.
  • Notice. We may send notices to your account email. You will send legal notices to legal@trellistate.example with a copy by certified mail to Trellistate LLC, [LLC street address].
  • Entire agreement. This Agreement, together with the Terms of Service and Privacy Policy, is the entire agreement between you and Trellistate regarding the service.
  • Force majeure. Neither party is liable for failures caused by events beyond reasonable control.
  • Independent contractors. Nothing here creates a partnership, joint venture, employment, or agency relationship.

For Trellistate LLC: items to finalize with counsel. Replace each [bracketed] placeholder. Have a real-estate attorney review §11 (liability cap), §14 (arbitration / FAA compliance), and any state-specific advertising-and-licensing rules where you operate.
